Terms and Conditions for Expo Brazil Exhibitor Contract

Welcome to Expo Brazil! This contract sets forth the terms and conditions for your participation as an exhibitor in our event. Please read this document carefully to ensure a mutually beneficial and successful experience.

1. Eligibility and Acceptance

Expo Brazil reserves the right to evaluate and select the companies and products that will participate in the event, and may reject applications at its sole discretion. By participating, the Exhibitor acknowledges and agrees to fully comply with this contract, as well as the additional rules and regulations communicated by the event organization. Expo Brazil reserves the right to refuse, remove, or prohibit the participation of any exhibitor who violates this contract or event rules, without refund.

OFFERED SPACE AND RESOURCES

Booths:

  • Standard: Includes 2 exhibitor badges, one 6′ table with a black skirt, and two chairs.
  • Double: Includes 4 exhibitor badges, one or two 6′ tables with black skirts, and two or four chairs.

Furniture and Equipment: All additional furniture and equipment are the responsibility of the Exhibitor. The Exhibitor may provide their own furniture.

Electrical and Internet Services: Electrical and dedicated internet services can be contracted directly with the Convention Center, at the Exhibitor’s expense.

Booth Relocation: Expo Brazil reserves the right to relocate booths as necessary, at its discretion.

Setup: Booth setup will take place on Friday from 2pm to 8pm.

Exhibition: The Exhibitor may only display the products or services listed in the contract. Booth sharing is strictly prohibited.

3. Payment, Late Fees, and Cancellation

Payment: Payment can be made in up to 4 installments without interest, provided the total amount is paid 45 days before the event. Payment must be made by the due date indicated on the invoice.

Late Fee: Late payments will incur a 2% penalty starting on the second day of delay. For delays exceeding 15 days, Expo Brazil reserves the right to cancel the Exhibitor’s participation, retaining 40% of the amount paid as a penalty.

Cancellation by the Exhibitor: Cancellation of participation by the Exhibitor will incur a penalty of 50% of the total contracted amount if done at least 45 days before the event. Cancellations less than 45 days before the event will incur a 100% penalty.

Badges: Badges are non-transferable and cannot be sold. Use is limited to individuals over 16 years of age. Each booth receives 2 (Standard) or 4 (Double) badges. Extra badges cost $20.00 each and must be requested at least 15 days before the event.

4. Occupation and Regulations

Setup and Teardown: Booth setup must be done on Friday, between 2pm and 8pm. Teardown cannot begin before 5pm on Sunday, and must be completed by 8pm the same day. Failure to comply will result in a $200 fine.

Occupation: The Exhibitor is required to occupy the contracted booth. Failure to do so does not exempt the Exhibitor from full payment. Unoccupied space one hour after the event starts may be used by Expo Brazil.

Regulations:

  • Booth reservations are confirmed only after payment is completed.
  • Structures and banners exceeding booth limits or not complying with event standards may be adjusted at an additional cost or removed without refund.
  • Banners or structures obstructing the visibility of neighboring booths must be covered with black curtains, available for rent at $80.
  • Booth sharing with other companies is prohibited.
  • Only products and services provided by the contracting company may be displayed in the booth.
  • Keep sound levels to a minimum.
  • The Exhibitor is responsible for any damage to the venue.
  • Exhibitors must remain at their booth throughout the event.

5. Merchandise

Food Sales and Presentation: Requires submission of licenses and insurance.

Food Vouchers: Food court exhibitors must accept food vouchers presented by the Expo Brazil team. Each team member will receive one voucher per day and can choose from which booth to get food.

Adult Materials: Must be kept out of reach of minors.

Legality: All products for sale must be legal and licensed.

Copyrights: Use of copyrighted material requires authorization and payment of royalties.

6. Rescheduling, Warranty, and Security

Rescheduling: In case of event rescheduling, contracts and payments will be transferred to the new date. If the event is not held within three years, paid fees will be refunded.

Warranty: Expo Brazil does not guarantee success or profitability from the exhibition.

Security: Expo Brazil will provide security during the event but is not responsible for any loss or damage.

7. Liability and Force Majeure

Liability: Expo Brazil’s liability is limited to the amount paid for booth rental.

Force Majeure: In the event of force majeure, Expo Brazil may retain part of the rental to cover expenses.

Indemnity: The Exhibitor agrees to indemnify Expo Brazil for losses and damages resulting from violations of this contract.

Other Clauses:

  • Expo Brazil does not guarantee the number of participants or the location of the booth.
  • The schedule is subject to changes due to events beyond Expo Brazil’s control.
  • Legal costs, if any, will be the responsibility of the Exhibitor.

8. Convention Center Policies

Food: Bringing food from outside the Convention Center, including packed lunches, is prohibited.

Beverages: Distribution or sale of Coca-Cola products and any type of beverage, except cultural beverages, is prohibited.

Dedicated Power and Internet: Provided by the Convention Center.

Abandoned Goods: Goods not collected by Sunday will be considered abandoned.

Restricted Areas: Minors under 16 are prohibited in hazardous work areas.

Material and Cargo Entry/Exit: Cannot be done through the main entrances.

Violation of any Convention Center rules may result in penalties applied by the Center, without responsibility to the Organizer.

9. Copyrights and Trademarks

The Exhibitor must obtain authorization to use music, artwork, or other copyrighted properties and indemnify Expo Brazil for any violations.

10. Image Use and Agreement

By participating, the Exhibitor authorizes the use of their image to promote the event. This contract represents the entire agreement between the parties.

11. Sharing of Contact Information

By participating in Expo Brazil, the Exhibitor agrees that the contact information provided during the registration process, including name, email, phone number, and company details, may be shared with suppliers or strategic partners of the event, exclusively for purposes related to Expo Brazil and its promotional activities. If the Exhibitor does not wish to have their information shared, they must notify the event organizers in writing at info@expobrazil.us

Expo Brazil Website User and Attendee Terms and Conditions
1. Acceptance of Terms
By using the website www.expobrazil.us (the “Website”), operated by Insta Click Events LLC dba Qualite Productions and/or dba Expo Brazil (“Expo Brazil,” “we,” “our,” or “us”), you agree to be bound by these Terms and Conditions. This agreement governs your use of the Website and attendance at Expo Brazil’s Brazilian Small Business Expo events (“Events”). If you do not agree to these terms, you may not use the Website or attend Events.
2. Registration
2.1 Attendee Registration: You can register for Events online, on-site, or through third-party platforms. Registration is subject to availability and on a first-come, first-served basis. Online registrations require creating an account, and you are responsible for maintaining the confidentiality of your login credentials.
2.2 Collection and Use of Information: During registration, we collect information such as name, address, email, and phone number. This information may be used to inform you about Events, contact you for marketing purposes, and shared with exhibitors and sponsors, who may contact you directly. To opt out of communications, emailinfo@expobrazil.us or contact the third parties directly.
2.3 Multiple Registrations: A representative may register multiple attendees, provided each attendee has a unique email address and authorizes the registration on their behalf.
2.4 Accurate Information: You must provide complete and up-to-date information at the time of registration and keep it correct if changes occur.
2.5 Cancellation and Non-Transfer: Expo Brazil reserves the right to cancel any registration at any time for violation of this agreement. Additionally, registration is non-transferable.
3. Expo Brazil
3.1 About the Events: The Events are business networking and trade shows for professionals. Attendance at most activities is on a first-come, first-served basis, except for premium badge holders.
3.2 Communications: By registering, you consent to receive communications from Expo Brazil and its partners via phone, email, or text message. This includes automated calls and texts. Consent is not a condition of purchase and can be revoked at any time.
3.3 Recording and Publicity: Expo Brazil may photograph and record Events and use the footage for promotional purposes. You grant Expo Brazil the right to use your name, image, and likeness in such materials.
3.4 Event Access: Expo Brazil strives to ensure smooth entry to Events but wait times may occur.
3.5 Badges: Free and paid badge options may be available, offering different benefits. Upgrades require purchasing the higher-level badge.
3.6 Lead Scanner App: Expo Brazil may offer a lead scanner app for attendees to collect contact information. Your information (excluding credit card details) may be shared with other attendees and exhibitors for commercial purposes. You are responsible for complying with all applicable laws regarding the use of collected data.
3.7 Networking Time: Some Events may include “Networking Time” with alcoholic beverages for attendees of legal drinking age with qualifying badges. Expo Brazil and the venue are not liable for any issues arising from alcohol consumption.
3.8 Hotels: Expo Brazil may offer preferential rates at certain hotels and travel agencies but is not affiliated with them and may receive a commission for bookings.
3.9 No Solicitation: Only exhibitors and sponsors may solicit business at Events. Attendees attempting to do so will be removed.
3.10 Third-Party Content: Expo Brazil does not endorse the views or products of exhibitors, sponsors, or other attendees.
3.12 Expo Brazil Learning: Expo Brazil Learning is an online platform offering educational resources. The content is for informational purposes only and does not constitute professional advice. Expo Brazil is not responsible for the accuracy or completeness of the content.
3.13 Sweepstakes: Expo Brazil may run sweepstakes or contests, subject to official rules posted on the Website or at the Event.
4. Commercial Transactions
4.1 Purchases: Expo Brazil and vendors may offer products or services for purchase. You must provide accurate information and comply with the terms of any purchase agreements.
4.2 Payment: Payment in full is required to access purchased products or services. Expo Brazil accepts major credit cards.
4.3 No Refunds: All sales are final, except if Expo Brazil cancels an Event due to reasons other than third-party actions.
4.4 Taxes: You are responsible for obtaining necessary licenses and paying applicable taxes related to your purchases.
5. No Endorsement or Affiliation: Release
Expo Brazil is not affiliated with any exhibitor and does not endorse their products or services. You release Expo Brazil and its representatives from any claims arising from your use of the Website, attendance at Events, or interactions with third parties.
6. Intellectual Property
The Website and its content are protected by intellectual property laws. You may not use the content for commercial purposes without Expo Brazil’s written consent.
7. Representations, Warranties, and Covenants
You represent that you have the legal authority to enter into this Agreement, comply with its terms, and have reviewed the Privacy Policy. You grant Expo Brazil the right to use your name and likeness in connection with Event recordings and advertising.
8. License
You may use the Website’s content for personal, non-commercial use only, provided you do not remove any copyright or trademark notices.
9. Links
The Website may contain links to third-party websites. Expo Brazil is not responsible for the content or actions of these sites.
10. Disclaimer of Warranties
The Website and Events are provided “as is,” without warranties of any kind, express or implied. Expo Brazil does not guarantee the accuracy or reliability of any information on the Website or at Events.
11. Limitation of Liability
Expo Brazil’s liability for any damages arising from your use of the Website or attendance at Events is limited to the lesser of the amount you paid for the goods or services or $1,000.
12. Indemnity
You agree to indemnify and hold Expo Brazil harmless from any claims arising from your breach of this Agreement, your actions, or your use of the Website or attendance at Events.
13. Third Parties
Your interactions with third parties found through the Website or at Events are solely between you and that third party. Expo Brazil is not responsible for any loss or damage resulting from such interactions.
14. No Agency
This Agreement does not create an agency, partnership, or employment relationship between you and Expo Brazil.
15. Privacy
Expo Brazil’s Privacy Policy governs the collection and use of your personal information.
16. Governing Law; Arbitration
This Agreement is governed by the laws of Florida. Any disputes will be resolved through binding arbitration in Debary, Florida, under the Commercial Rules of the American Arbitration Association.
17. Time Limit for Claims
Any claims arising from this Agreement must be filed within six months of the event giving rise to the claim.
18. Assignment
You may not assign your rights or obligations under this Agreement without Expo Brazil’s consent. Expo Brazil may assign this Agreement at its discretion.
19. Validity; Waiver
If any provision of this Agreement is deemed invalid, the remaining provisions shall remain in full force and effect.
